Welcome to the website of PET CONCIERGE FOR DOMESTIC PETS BOARDING CO. L.L.C. ("Pet Concierge," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website and services. By accessing or using our website, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

Eligibility to Use Our Website

To use our website and services, you must be at least 18 years old or the legal age of majority in your jurisdiction and possess the legal authority to enter into these Terms. Access to and use of this website and services are prohibited where such use would violate applicable law.

Services Offered

Pet Concierge provides a platform that connects pet owners ("Clients") with independent service providers ("Service Providers") for services including pet sitting, dog walking, and other pet-related activities. These services may be booked online through our website. Pet Concierge does not directly provide pet care services and acts solely as an intermediary between Clients and Service Providers.

Relationship with Service Providers

Pet Concierge serves as a facilitator in connecting Clients with Service Providers. All Service Providers operate as independent contractors, and any agreement for services rendered is solely between the Client and the Service Provider. Pet Concierge is not responsible for and does not guarantee the performance, actions, or omissions of Service Providers.

Independent Contractor Responsibilities

Service Providers are solely responsible for their own taxes, insurance, and legal compliance, including maintaining the necessary work permits, licences, and other legal documents required to provide the services. Pet Concierge recommends, but does not require, that Service Providers carry sufficient insurance to cover their activities.

Confidentiality and Non-Solicitation

Service Providers are entrusted with Clients' contact details solely for the purpose of providing updates on pet care during the provision of services. Service Providers agree not to use this information to solicit Clients directly for services outside the Pet Concierge platform. Any attempt to engage Clients directly for services will be considered a breach of these Terms.

Booking, Payment, and Refund Terms

When you book a service through our platform, you agree to the pricing, terms, and duration specified at the time of booking. All prices listed are subject to change without notice, and applicable taxes and fees will be detailed during the payment process. Payment is required at the time of booking, and by booking a service, you authorise Pet Concierge to charge your payment method for the full amount.

Payment to Service Providers

Service Providers will receive payment for services rendered only after the service has been completed and positive feedback has been received from the Client. Pet Concierge will deduct its commission and disburse the remaining balance to the Service Provider within seven (7) days following the successful completion of the service.

Cancellation and Refund Policy

Cancellation and Rescheduling Policy

Clients may cancel or reschedule their booking online up to 24 hours before the scheduled service without any penalty. Cancellations or rescheduling requests made within 24 hours of the scheduled service will result in the full booking fee being charged. In the event that a Service Provider cancels, Pet Concierge will make reasonable efforts to find a replacement. If a suitable replacement is not available, the Client will receive a full refund of the booking fee.

User Accounts and Security

To use certain features of our website, you must create a User Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to immediately notify us of any unauthorised use of your account.

Content and Acceptable Use

You agree that any content you post, submit, or otherwise make available on our website is accurate, not misleading, and complies with all applicable laws. You are prohibited from posting content that is defamatory, obscene, illegal, or otherwise violates the rights of others. Pet Concierge reserves the right to remove or edit any content that violates these Terms or is deemed inappropriate.

Intellectual Property Rights

All content, trademarks, service marks, trade names, logos, and intellectual property associated with Pet Concierge are the exclusive property of Pet Concierge or its licensors. You are granted a limited, non-exclusive, non-transferable licence to access and use the website for personal, non-commercial purposes. Any unauthorised use of our intellectual property is strictly prohibited.

Modifications to Services

Pet Concierge reserves the right to modify, suspend, or discontinue any service at any time without notice or liability. This includes changes to features, pricing, and availability of services. We are not liable for any losses or damages resulting from such modifications.

Warranties and Disclaimers

Pet Concierge provides its platform and services on an "as is" and "as available" basis, with no warranties or representations, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that our services will be uninterrupted, secure, or error-free. You acknowledge that your use of the platform and services is at your own risk.

Liability and Indemnification

Limitation of Liability:
To the maximum extent permitted by applicable law, Pet Concierge, its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorised access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Indemnification:
You agree to defend, indemnify, and hold harmless Pet Concierge, its affiliates, licensors, and service providers, and each of their respective officers, directors, employees, agents, and contractors, from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to solicitor's fees) arising from:
1. Your Use of the Services: Any activity related to your account, including any negligent or wrongful conduct, whether by you or any person accessing the services using your account.
2. Violation of Terms: Your breach of any term of these Terms, including but not limited to any breach of your representations and warranties set forth in these Terms.
3. Violation of Rights: Your violation of any third-party right, including without limitation any intellectual property, property, or privacy right.
4. User Content: Any claim that your content caused damage to a third party, including but not limited to any claims of infringement, defamation, and violation of rights of privacy or publicity.
5. Service Provider Indemnification: Service Providers agree to indemnify, defend, and hold harmless Pet Concierge, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable solicitor's fees) arising out of or related to: (i) Service Provider’s breach of these Terms; (ii) any negligence or wilful misconduct by Service Provider in the performance of the Services; (iii) any claims by Clients or third parties related to the Services provided by Service Provider.
6. Interactions with Service Providers: Any claims, damages, or disputes arising from your interactions or transactions with Service Providers, including but not limited to issues related to the provision or quality of pet care services.

This defence and indemnification obligation will survive these Terms and your use of the services.

Veterinary Care Authorisation

In the event that veterinary care is required during the provision of services, the Service Provider will attempt to contact the Client. If the Client is unreachable, the Service Provider may seek veterinary care at their discretion to ensure the well-being of the pet. The Client agrees to reimburse all medical expenses incurred and authorises Pet Concierge to charge the payment method on file for these costs. Pet Concierge strongly recommends that Clients maintain adequate pet insurance to cover potential veterinary expenses.

Severability and Waiver

Severability:
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from the remaining provisions, which will continue to be valid and enforceable to the fullest extent permitted by law. The parties agree to replace any invalid or unenforceable provision with a valid and enforceable provision that most closely approximates the intent and economic effect of the original provision.

Waiver:
No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Pet Concierge to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Governing Law and Dispute Resolution

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates.

Dispute Resolution:
In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through amicable negotiations in good faith. If the dispute cannot be resolved through negotiations within 30 days, either party may refer the dispute to binding arbitration under

 the rules of the Dubai International Arbitration Centre (DIAC). The arbitration shall be conducted in Dubai, UAE, and the language of arbitration shall be English. The decision of the arbitrator(s) shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Entire Agreement

These Terms constitute the entire agreement between you and Pet Concierge regarding your use of our website and services and supersede any prior agreements or understandings, whether written or oral, relating to such subject matter.

Termination of Services

Pet Concierge reserves the right to terminate or suspend your account and access to our services at its sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the services, us, or third parties, or for any other reason. In the event of termination, all provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
